Terms of Use

1. Acceptance of Terms

These Terms of Use (the "Terms") form a legally binding agreement between you and Anius Technology Services Inc. ("Company", "we", "us", or "our"), a corporation incorporated under the laws of the Province of Ontario, Canada. By downloading, installing, accessing, or using Stock Tracker Pro (the "App"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App. We reserve the right to modify these Terms at any time, with modifications taking effect upon posting to the App. Your continued use of the App following notification of such modifications constitutes your acceptance of the modified Terms.

2. Description of Service

Stock Tracker Pro is an application designed to help active traders track trades, calculate P&L (profit and loss), manage multiple portfolios, import CSV data from various brokers, and generate tax reports. The App is provided "as-is" and we make no warranties regarding its accuracy, completeness, or fitness for a particular purpose.

3. Disclaimer of Liability

Stock Tracker Pro is a record-keeping tool only. We do not provide financial, investment, or tax advice. The App is not designed to replace professional financial advisors, accountants, or tax professionals. You are solely responsible for:

  • Verifying all data accuracy
  • Making your own investment decisions
  • Consulting with licensed professionals for financial and tax advice
  • Filing accurate tax returns

We are not liable for any financial losses, tax penalties, or consequences resulting from your use of the App or reliance on its data.

4. Data Accuracy & Verification

While we strive to maintain accurate data, Stock Tracker Pro relies on information you enter and data provided by third-party APIs. You are responsible for:

  • Verifying all imported data matches your broker records
  • Correcting any errors or discrepancies
  • Maintaining backup copies of your data

We are not responsible for errors caused by incorrect data entry, API failures, or third-party data providers.

5. Limitation of Liability

To the fullest extent permitted by law, Stock Tracker Pro, its creators, and contributors are not liable for:

  • Direct or indirect damages
  • Lost profits or data
  • Missed investment opportunities
  • Tax filing errors or penalties
  • Inaccurate P&L calculations
  • API failures or data unavailability
  • Any other damages, whether in contract, tort, or otherwise

Your sole remedy is the refund of subscription fees paid within the past 30 days.

Consumer rights notice (Ontario): Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable consumer-protection law, including the Consumer Protection Act, 2002 (Ontario). If you are a consumer in Ontario, your statutory rights under that legislation are not affected by these Terms.

6. User Responsibilities

You agree to:

  • Use the App only for lawful purposes
  • Maintain the confidentiality of your account credentials
  • Not reverse-engineer, decompile, or modify the App
  • Not attempt to gain unauthorized access to our systems
  • Not use the App to facilitate illegal activities
  • Comply with all applicable laws and regulations
  • Take responsibility for all activity under your account

You are responsible for activity under your account that results from your failure to safeguard your credentials. We remain responsible for unauthorized access caused by failures of our security measures and will work with you in good faith to resolve any such incident. Notify us immediately at support@stocktrackerpro.com if you suspect unauthorized access to your account.

7. Tax Considerations

Stock Tracker Pro provides tax reporting tools to assist with record-keeping. However:

  • We do not determine your tax liability
  • Tax laws vary by jurisdiction and individual circumstance
  • You must consult a qualified CPA or tax professional
  • Wash sale calculations are estimates and may require professional review
  • You are responsible for accurate tax filings
  • We assume no liability for tax penalties or errors

Always verify tax reports with a licensed tax professional before filing.

8. Data Privacy & Security

Your data is stored securely, but:

  • No system is 100% secure
  • You acknowledge the inherent risks of digital data storage
  • We are not liable for unauthorized access due to your negligence
  • We recommend using strong passwords and two-factor authentication
  • Regularly backup your data outside the App

9. Third-Party Services

Stock Tracker Pro integrates with third-party services (brokers, APIs, payment processors). We are not responsible for:

  • Third-party API failures or inaccuracies
  • Service interruptions or data unavailability
  • Broker-provided data quality
  • Payment processing errors
  • Changes to third-party services

You are bound by third-party terms of service. We recommend reviewing them.

10. Subscription & Billing

Subscription terms:

  • Free trial: 7 days for eligible users
  • Auto-renewal: Subscriptions renew automatically unless cancelled
  • Cancellation: Cancel anytime through account settings. Upon cancellation, no refund is issued — you will retain full access to your plan until the end of the current billing period, after which your account will revert to the Free tier.
  • Pricing: Subject to change with 30 days notice

You are responsible for maintaining valid payment information.

11. Intellectual Property

All content, features, and functionality of the App are the exclusive property of Anius Technology Services Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your own personal trading and portfolio-management purposes (which may include use in connection with your individual trading activity, whether casual or active). You may not:

  • Copy, reproduce, or republish the App or its content other than as needed to use the App as intended
  • Create derivative works based on the App
  • Resell, sublicense, or commercially redistribute the App or its outputs as a service to third parties
  • Reverse-engineer, decompile, or disassemble the App, except where this restriction is prohibited by applicable law
  • Remove copyright notices or proprietary markings

Use of the App as a personal tool to manage your own trading is permitted, including by professional or active traders. Use of the App to provide a competing service to others is not permitted.

12. Termination

We reserve the right to terminate or suspend your account if you:

  • Violate these terms
  • Engage in illegal activity
  • Attempt unauthorized access
  • Abuse the service
  • Create multiple accounts to circumvent restrictions

Termination is effective immediately upon notice.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and the Company agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, for the resolution of any disputes arising out of or relating to these Terms or your use of the App, except where mandatory consumer-protection law in your place of residence provides otherwise.

14. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Force Majeure

Neither party is liable for any failure or delay in performance of these Terms caused by events beyond their reasonable control, including acts of God, natural disasters, fire, flood, pandemic or epidemic, war, terrorism, riots, civil unrest, government action, labour disputes, internet or telecommunications outages, third-party service provider failures, or interruptions to data feeds from brokerages, exchanges, or market-data vendors.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Anius Technology Services Inc. with respect to your use of the App and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, regarding the same subject matter.

17. Modifications to Service

We reserve the right to:

  • Modify or discontinue features
  • Change pricing or subscription plans
  • Impose usage limits or restrictions
  • Update data sources and calculations
  • Change third-party integrations

We will provide reasonable notice of significant changes.
